REGULATORY NEWS ON WHISTLEBLOWING

On 15/03/2023, Legislative Decree 24/2023 was published in the Official Journal, which amended the legislation on Whistleblowing.

The purpose of the rule is to guarantee the confidentiality and protection of the whistleblower from any retaliatory conduct (e.g. mobbing, demotion, dismissal), which is prohibited and would be null and void if implemented.

n order to comply with the provisions of Legislative Decree 24/2023 and with a view to guaranteeing fairness and transparency in the conduct of its business, the Company has adopted a specific "Whistleblowing Procedure" (to describe the operating methods for handling reports) posted on company notice boards and attached to this communication (to which reference should be made for further details) and has set up a digital "Whistleblowing" platform, available to anyone wishing to make a report quickly, safely and in compliance with the measures laid down by law.

 

REPORT FEATURES

The report must relate solely to violations of national and European Union law provisions that harm the public interest or the integrity of the public administration or the private entity, of which the reporting person has become aware in a public or private work context, including the Organisation, Management and Control Model and the Code of Ethics; therefore, reports concerning personal requests, complaints, or circumstances that are not relevant for the purposes of the aforementioned decree will not be taken into account.

Reports must be made in good faith, circumstantiated and based on precise and concordant factual elements, also in order not to waste the effectiveness of the tool made available to you. Anyone who makes malicious or grossly negligent reports that later prove to be unfounded may be subject to disciplinary sanctions.

 

HOW TO SUBMIT A REPORT

To make a report, in written form, you can use the digital platform "Portale Web Segnalazioni Anonime" (Anonymous Reports Web Portal) by accessing the relevant company.

 

REPORTS MANAGEMENT

In order to protect the 'reporting party' and the 'reported party' as much as possible, the necessary security measures have been taken: regardless of the choice made by the 'reporting party' to make a report anonymously or not, the identity of the author and the content of the report are guaranteed confidentiality through secure protocols and encryption tools (and/or storage and safekeeping of paper information) that allow personal data and information provided to be protected. The identity of the reporting party is never disclosed without his or her consent, except in the cases provided for by the applicable legislation.

The body responsible for handling reports is the Whistleblowing Committee, appointed by specific decision of the Company's administrative body, whose composition is set out in the attached "Whistleblowing Procedure".
